By accessing or using DealerPricing ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and subscribers.

2. Description of Service

DealerPricing provides a vehicle pricing and valuation platform designed for motor trade professionals. The Service includes access to market data, vehicle valuations, pricing insights, and comparison tools to help dealers price their stock accurately.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

4. Subscription and Payment

4.1 Subscription Plans

Access to DealerPricing requires a paid subscription. Subscription plans, pricing, and included features are detailed on our pricing page and may be updated from time to time.

4.2 Billing

Subscriptions are billed monthly or annually as selected. Payment is due at the beginning of each billing period. All fees are non-refundable except as expressly stated in these Terms.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will retain access until then.

5. Search Limits

Each subscription plan includes a monthly allocation of vehicle searches. Search counts reset at the beginning of each billing period. Unused searches do not roll over. If you exceed your search limit, you will need to upgrade your plan or wait for the next billing period.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Share your account credentials with third parties
• Attempt to access data not intended for you
• Interfere with or disrupt the Service or its servers
• Use automated systems to access the Service without permission
• Resell, redistribute, or commercially exploit the data or Service
• Reverse engineer or attempt to extract source code

7. Data and Accuracy

DealerPricing aggregates vehicle data from multiple sources to provide market insights and valuations. While we strive for accuracy, we do not guarantee that all data is complete, current, or error-free.

The valuations and insights provided are for informational purposes only and should not be the sole basis for business decisions. You are responsible for verifying any information before relying on it.

8. Intellectual Property

The Service, including its content, features, and functionality, is owned by DealerPricing and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALERPRICING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless DealerPricing, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will remain in effect.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
